Terms of Service

Welcome to Dryade. These Terms of Service (“Terms”) govern your access to and use of the Dryade platform, including our website, applications, and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

In these Terms:

  • “Account” means your registered account on the Dryade platform.
  • “Content” means any data, text, files, information, graphics, or other materials you upload, submit, or display through the Service.
  • “Plugin” means a software extension, tool, or integration available through the Dryade marketplace.
  • “Publisher” means any individual or entity that creates and distributes Plugins through the Service.
  • “Subscription” means a paid plan that grants access to premium features of the Service.
  • “User” means any individual who accesses or uses the Service.

2. Account Registration

To use certain features of the Service, you must create an Account. When you create an Account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your Account information to keep it accurate and current.
  • Maintain the security of your password and accept responsibility for all activities that occur under your Account.
  • Immediately notify us of any unauthorized use of your Account.

You must be at least 18 years old to create an Account. By creating an Account, you represent that you are at least 18 years of age.

3. Subscription & Payment

3.1 Subscription Plans

The Service offers various subscription tiers (Starter, Team, Enterprise) with different features and pricing. Details of each plan are available on our pricing page.

3.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is due at the beginning of each billing cycle. All fees are non-refundable except as expressly set forth in these Terms.

3.3 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

3.4 Failed Payments

If a payment fails, we will attempt to collect payment for up to 21 days. During this grace period, your access may be restricted. If payment cannot be collected, your subscription will be cancelled.

4. License Terms

4.1 Grant of License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. The Dryade platform is proprietary commercial software. The Dryade plugin SDK is released as open source under the MIT license at github.com/DryadeAI/dryade-plugins-sdk.

4.2 License Key

Your subscription includes a license key that allows you to use the Dryade Plugin Manager. This license key is tied to your Account and may not be shared, sold, or transferred.

4.3 Device Limits

Each subscription tier has a maximum number of devices on which the Plugin Manager may be activated:

  • Starter: 1 device
  • Team: 3 devices
  • Enterprise: 10 devices

Custom contracts may specify a different device cap, which is signed into the license file at issue time. Exceeding the cap signed into your license is a violation of these Terms and the marketplace will refuse to activate additional devices.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit malware, viruses, or other harmful code.
  • Scrape, crawl, or use automated means to access the Service without permission.

Violation of this section may result in immediate suspension or termination of your Account.

6. Intellectual Property

6.1 Our Property

The Service, including all content, features, and functionality, is owned by Dryade and is protected by copyright, trademark, and other intellectual property laws. The Dryade platform is proprietary commercial software. The Dryade plugin SDK is released as open source under the MIT license at github.com/DryadeAI/dryade-plugins-sdk; it is the only Dryade component governed by an open-source license.

6.2 Your Content

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display the Content as necessary to provide the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you.

7. Refund Policy

7.1 Tier Subscriptions

You may cancel your subscription at any time. No refunds are provided for the current billing period. Your access continues until the end of the paid period.

7.2 Per-Plugin Subscriptions

You may request a refund within 14 days of your initial plugin subscription if the plugin does not function as described. Refunds are not available after 14 days or for subscription renewals.

7.3 Annual Plans

No pro-rated refunds are available for annual subscription plans.

7.4 Refund Processing

Approved refunds are processed within 5-7 business days to your original payment method. The platform commission (20%) is not refunded; only the net amount paid to the publisher is refunded.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRYADE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months prior to the event giving rise to the claim.

9. Termination

9.1 By You

You may cancel your subscription at any time through your Account settings. Your subscription will remain active until the end of the current billing period.

9.2 By Us

We may suspend or terminate your Account if you violate these Terms, fail to pay applicable fees, or engage in conduct that we determine is harmful to other users or the Service.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Your data will be retained for 90 days and then permanently deleted.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Paris, France.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
