This Publisher Agreement ("Agreement") governs your participation as a publisher on the Dryade Marketplace. By registering as a publisher, you agree to be bound by this Agreement in addition to our Terms of Service.
1. Publisher Eligibility
To become a publisher, you must:
- Be at least 18 years of age or have legal authority to enter into contracts.
- Have a valid Dryade account in good standing.
- Provide accurate personal or business information during the onboarding process.
- Complete tax documentation as required by applicable laws.
- Set up a valid payment method for receiving payouts.
- Accept the Publisher Charter and these terms.
We reserve the right to reject publisher applications at our discretion, including based on prior violations of our terms or low-quality submissions.
2. Plugin Submission Standards
All plugins submitted to the marketplace must:
- Include accurate and complete metadata (name, description, screenshots, version).
- Have a unique name that does not infringe on trademarks or impersonate other publishers.
- Include clear documentation for installation and usage.
- Accurately describe functionality without misleading claims.
- Be categorized appropriately based on functionality.
- Include a changelog for each version update.
3. Quality & Security Requirements
3.1 Code Quality
- Plugins must be free of known bugs that significantly impact functionality.
- Code must be reasonably optimized and not cause excessive resource usage.
- Plugins must be compatible with the declared minimum Dryade version.
- Dependencies must be properly declared and managed.
3.2 Security Requirements
- Plugins must not contain malware, spyware, or malicious code.
- Plugins must not collect user data without explicit consent and disclosure.
- Plugins must not exploit vulnerabilities in the Dryade platform.
- API keys and sensitive data must be handled securely.
- All external network requests must be declared and justified.
3.3 Review Process
All plugins undergo a review process before publication. This includes automated security scanning and manual review. We reserve the right to reject plugins that do not meet our standards or request changes before approval.
4. Revenue Sharing
4.1 Revenue Split
For paid plugins, revenue is split as follows:
- Publisher: 80% of net revenue
- Dryade: 20% of net revenue (platform fee)
"Net revenue" is the gross amount charged to customers minus payment processing fees, refunds, and applicable taxes.
4.2 Affiliate Bonus
Publishers earn 80% of net plugin revenue. When a sale originates from a publisher's affiliate link, an additional 5% affiliate bonus is credited from the platform's commission. In such cases, the publisher receives 80% (standard share) plus 5% (affiliate bonus) = 85% total, while Dryade retains 15%.
4.3 Pricing
Publishers set their own prices within platform guidelines. Prices must be reasonable and in line with the value provided. We reserve the right to remove plugins with deceptive pricing practices.
5. Payment Terms
- Payouts are processed monthly for earnings exceeding the minimum threshold.
- Payouts are made via Stripe Connect to your connected bank account.
- A 14-day holding period applies to all earnings for refund processing.
- Publishers are responsible for all applicable taxes on their earnings.
- We may withhold payments if we suspect fraud or terms violations.
6. Intellectual Property Rights
6.1 Your Ownership
You retain full ownership of your plugins and their source code. By publishing on Dryade, you grant us a non-exclusive license to host, display, and distribute your plugins.
6.2 Your Warranties
You warrant that:
- You own or have the right to use all content in your plugins.
- Your plugins do not infringe on any third-party intellectual property rights.
- Any open-source components are properly attributed and licensed.
6.3 Platform License
The Dryade platform is distributed under the Dryade Software Usage License (DSUL). Plugins distributed through the marketplace must be compatible with the DSUL terms. Publishers may choose their own licensing for their plugin code, provided it does not conflict with the platform's DSUL license.
6.4 DMCA Compliance
We comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed, please contact us at legal@dryade.ai.
7. Content Moderation
We reserve the right to:
- Remove or suspend plugins that violate our terms or policies.
- Require updates to plugins with security vulnerabilities.
- Delist plugins with excessive negative reviews or user complaints.
- Feature or promote plugins at our discretion.
- Request changes to plugin metadata or functionality.
8. Termination of Publisher Status
8.1 By You
You may terminate your publisher status at any time. Upon termination, your plugins will be removed from the marketplace. Existing customers will retain access to already-purchased plugins.
8.2 By Us
We may terminate your publisher status for:
- Violation of this Agreement or our Terms of Service.
- Publishing malicious or harmful plugins.
- Fraudulent activity or misrepresentation.
- Extended inactivity or abandonment of plugins.
- Repeated submission of low-quality plugins.
8.3 Effect of Termination
Upon termination, any pending earnings will be paid out after the standard holding period, provided no fraud is suspected. We may retain a portion of earnings if refunds are required.
9. Indemnification
You agree to indemnify and hold harmless Dryade, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your plugins or their use by customers.
- Your violation of this Agreement.
- Your infringement of any third-party rights.
- Any dispute between you and a customer.
